Terms of Service

Overview

These Terms of Service ("Terms") govern your use of the Agents Locked platform, including agentslocked.com and all related APIs, tools, and services (collectively, the "Service") operated by Agents Locked, Inc. ("Agents Locked", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you're using Agents Locked on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you disagree with any part of these Terms, you may not access the Service.

Your account

To use Agents Locked, you must create an account with a valid email address. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use at security@agentslocked.com

You must be at least 16 years old to create an account. Accounts may not be transferred to another party without our written consent.

Acceptable use

Agents Locked is designed to help you find and fix security vulnerabilities in code you own or have permission to scan. You agree not to use the Service to:

• Scan code, repositories, or systems you do not own or have explicit written permission to test
• Circumvent, disable, or interfere with security features of any system
• Upload malicious code, malware, or exploits to our platform
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the Service for any illegal purpose or in violation of any applicable laws
• Resell or redistribute Agents Locked findings or reports without our written permission
• Reverse engineer, decompile, or disassemble the Service
• Use automated means to access the Service beyond our documented API rate limits

The service

Agents Locked provides automated security analysis of source code. You understand and agree that:

• Agents Locked findings are provided for informational purposes only and do not constitute professional security advice
• No automated tool can guarantee the detection of all vulnerabilities — Agents Locked may miss findings
• A clean Agents Locked report does not mean your application is secure
• You are responsible for evaluating, prioritizing, and remediating findings
• The Service may be modified, updated, or discontinued at any time with reasonable notice

We reserve the right to refuse service to anyone for any reason at any time, particularly where we suspect a violation of these Terms.

Intellectual property

The Service and its original content, features, and functionality are owned by Agents Locked, Inc. and are protected by international copyright, trademark, and other intellectual property laws.

Your code remains yours. By submitting code for scanning, you grant Agents Locked a limited, temporary license to process your code for the sole purpose of delivering scan results. This license terminates when the scan completes and the code is deleted from our systems.

Scan results (findings, reports, recommendations) generated by the Service are yours to use, share, and act upon. You may not resell or redistribute them commercially without our written consent.

Payment & billing

Paid plans are billed monthly or annually in advance. By providing a payment method, you authorize Agents Locked to charge you for the applicable subscription fees.

• Cancellations: You may cancel at any time. Cancellations take effect at the end of the current billing period — no partial refunds for unused time.
• Refunds: We offer a full refund within 7 days of your first payment on a paid plan if you're not satisfied. Contact hi@agentslocked.com.
• Price changes: We'll give you 30 days' notice of any price increases. Continued use after that date constitutes acceptance.
• Taxes: Prices are exclusive of applicable taxes, which may be added at checkout based on your location.

Payment processing is handled by Stripe, Inc. Your payment information is never stored on our servers.

Termination

You may terminate your account at any time from your account settings or by emailing hi@agentslocked.com.

We may suspend or terminate your account immediately, without prior notice, if we determine that you have violated these Terms. Upon termination, your right to use the Service ceases immediately, and we will delete your data in accordance with our Privacy Policy.

Sections that by their nature should survive termination (Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law) will survive.

Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Agents Locked does not warrant that:

• The Service will be uninterrupted, error-free, or completely secure
• Any specific vulnerability will be detected by our analysis
• Results will be accurate, complete, or suitable for any particular purpose
• Any defects in the Service will be corrected

Security is a shared responsibility. Agents Locked is one layer of your security posture, not a substitute for secure development practices, code review, penetration testing, or other security measures.

Limitation of liability

To the maximum extent permitted by applicable law, Agents Locked, Inc. and its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, resulting from:

• Your use of or inability to use the Service
• Any unauthorized access to or alteration of your code or data
• Any security breach or incident in your systems
• Any bugs, viruses, or harmful code transmitted through the Service
• Any errors or omissions in findings or recommendations

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to defend, indemnify, and hold harmless Agents Locked, Inc. and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of the Service in violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any claim that your use of the Service caused damage to a third party

Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Changes to these terms

We reserve the right to modify these Terms at any time. We'll notify you of material changes by email at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes your agreement to the revised Terms.
